We open with a Gotham elite couple disposing of their newborn baby — an infant with cosmetic abnormalities — by sealing him in a sewer drain. The baby grows up in the Gotham sewer system, raised by a colony of penguins. He becomes the Penguin (Danny DeVito) — a deformed, biting criminal who controls Gotham's hidden underground.

Gotham is also being terrorized by Max Shreck (Christopher Walken), a corrupt corporate magnate who has been running a fraudulent power-grid scheme. Shreck's secretary Selina Kyle (Michelle Pfeiffer) discovers the fraud. Shreck pushes her out a 30-story window. Selina, severely injured, is revived by a group of stray cats and emerges as Catwoman — a vigilante hunting Gotham's corporate criminals.

The Penguin runs for Mayor of Gotham — backed by Shreck's corporate funds. He intends to use political power to formalize his control of Gotham's underground criminal network. Batman (Michael Keaton) opposes the Penguin's campaign.

Bruce Wayne and Selina Kyle meet at a Shreck Industries party and immediately recognize their mutual identity-issues. They begin a romantic relationship — Bruce as Wayne, Selina as Selina — that is increasingly haunted by their secret superhero identities.

The Penguin and Catwoman briefly ally against Batman. The Penguin kidnaps Gotham's children, threatening to murder them all unless Gotham elects him. Catwoman, in revenge for being killed, intends to murder Shreck.

The final battle is at the Penguin's sewer headquarters. Batman defeats the Penguin (he dies of his swimming-into-water injuries). Catwoman confronts Shreck in the same warehouse where she was thrown from the window. She electrocutes Shreck (and herself) in a vengeful murder-suicide. Catwoman, however, has nine lives — she survives but disappears.

The film closes with Batman watching the Penguin's funeral procession — penguins carrying his body into the icy water. He looks at the sky and sees what could be Catwoman silhouetted on a rooftop. Batman Returns grossed $267 million globally on an $80 million budget — strong commercial success but the franchise's lowest by Tim Burton standards. The film's tonal darkness led to Burton's removal from Batman Forever (1995).
